This
agreement is between Impulse Business Services and the Customer.
· Although Impulse Business Services shall make all efforts to ensure
prompt maintenance, Impulse Business Services shall not be liable
for delay or failure in performance or for the consequences therefore
when caused by circumstances outside its control.
· The extent of Impulse Business Services liability shall be limited
to the obligations and liabilities stated herein which are in lieu
and to the exclusion of all other obligations, warranties, representations
and conditions express or implied statutory or otherwise (whether
arising out of contract or in tort or otherwise). Impulse Business
Services shall in no event be liable for direct or consequential
loss, damage or injury.
· Payment must be made to Impulse Business Services within 30 (thirty)
days from date of invoice. If the Customer does not pay Impulse
Business Services within this period Impulse Business Services may
cease to perform its obligations herein without prejudice to its
existing rights.
· If payment is not received within 30 days from date of invoice
a solicitor's letter of final demand may be sent at any time. If
such a letter is sent, then Impulse Business Services reserve the
right to charge a fee of £30 to your account, payable on demand,
for the costs involved.
· Interest will be charged at 2.5% per month on all overdue accounts.
· There will be a £20 charge to your account, payable on demand,
for any cheque's returned due to insufficient funds.
· Without prejudice to any other right of Impulse Business Services
all over due payments shall carry interest at the rate of two per
cent over base rate per month or part month on the amount or amounts
for the time being outstanding.
· Any anomaly noted on your invoice must be brought to our attention
in writing within seven days from the date of invoice.
· There is a limited warranty period of 90 days on all repairs.
This includes all parts and labour but is specific to the original
fault reoccurring due to parts failure.
· Impulse Business Services is not liable for any loss of business
or profit or other consequential loss of the Customer arising from
any defects in or performance of the equipment or for failure to
render service or provide supplies to causes beyond its control.
· Impulse hereby expressly excludes to the extent permitted by Law
any liability (arising in contract or in tort howsoever otherwise
arising) for:
· Consequential loss or damage caused by or arising out of the
use of the equipment or occurring in respect of the equipment: and
· Loss or damage due to fair wear and tear and negligence or improper
use. Operation, storage, handling of (without Impulse Business Services
written instructions as supplied with the equipment: and
· Loss, injury or damage (including consequential loss) arising
from fire, accident, industrial dispute, civil disturbance or any
other act or accidental default interfering with the manufacture
dispatch or delivery of the equipment beyond the control of Impulse
Business Services.
· Any work undertaken by Impulse Business Services for the Customer
where Impulse Business Service is the third party, is subject to
the same payment terms of 30 (thirty) days from date of invoice.
Non-payment to the Customer does not entitle the Customer to withhold
in part or in full, any payments of this, or any other invoice.
· Goods and parts remain strictly the property of Impulse Business
Services until paid for in full. Please note: If collection proceedings
are invoked for settlement of this invoice we reserve the right
to levy a 30% collection charge.
· Both Impulse Business Services and the Customer are independent
contractors under these conditions and the parties acknowledge that
neither of them is an agent or partner of the other for any purpose
and that each of them is entirely without authority to act on behalf
of the other in any manner.
· A charge is made if any order is canceled once made and for returned
items due to incorrect address details. This will be 30% of total
order value.
· Impulse Business Services failure to insist on a strict performance
of any provision of these conditions shall not be deemed to be a
waiver of its rights and remedies in any subsequent default by the
Customer in the performance or compliance with any of the terms
of these conditions.
· Whilst Impulse Business Services shall make every effort to protect
the customers data it is the customers sole responsibility to maintain
up-to-date backup copiers of their data.
· These Terms and Conditions shall in all respects be governed by
and construed in accordance with English Law.
